Preamble: Universal User Identity & Dual-Role Capacity

Smart Labours Online Services Ltd operates a fluid, single-account architecture. Every registered individual or legal corporate entity holds a universal profile. A single user or company can act in a capacity to offer services and a capacity to request services at the exact same time. The rights, duties, liabilities, and micro-insurance triggers governed by these terms apply dynamically based on the specific role being performed at the moment of the dynamic Bid/Ask transaction handshake.

Section 0: Mandatory Onboarding, Instant KYC Verification, & Approvals

  • 0.1 Explicit Clickwrap Consent: By creating an account and completing the registration process on the web platform or mobile application, all users explicitly agree to be bound by these Master Terms & Conditions and all regional addendums. Access to the ecosystem engine is strictly prohibited until explicit consent is given.
  • 0.2 Frictionless Initial Signup: Initial account creation requires simple authentication via mobile number, email, Google login, or existing unified social profiles. Initial registration allows unrestricted browsing of the universal ecosystem.
  • 0.3 Just-In-Time (JIT) Identity Mandate: The moment a user attempts to actively execute a request (including but not limited to booking a taxi ride, domestic help, posting a task, or listing a logistics shipment) or submit a service bid, identification checks trigger immediately. Both the Offeree (Service Requester) and the Offeror (Service Provider/Requestee) must instantly upload an authentic, valid identification document issued by their regional local authority.
  • 0.4 Back-Office Evaluation & Real-Time AI Review:
    (a) Immediate On-Demand Validation: Upon the submission of an active task request or bid, the Smart Labours system and back-office operations team instantly review, evaluate, and process the uploaded identity documents.
    (b) Proven Competency Thresholds: Providers must supply a documented history, reference portfolio, or verified proof of ability certifying they can execute bids and tasks with adequate effort and strict adherence to agreed-upon project timelines.
    (c) Manual vs. AI Scaling: Initial account verifications and specific high-risk task listings are manually approved by the back office. Subsequent or repeated routine requests bypass manual queues and are managed via inbuilt automated AI fraud-detection and safety validations to prevent system friction. Every ad or listing posted on the platform remains subject to system verification and approval.
  • 0.5 Comprehensive Notifications: Users are kept fully informed throughout the verification process. Real-time updates regarding KYC approval status, back-office verification progression, system compliance clearances, or account holds will be systematically transmitted to all concerned parties via in-app alerts, SMS, or registered email channels.
  • 0.6 The Smart Score System (Mutual Rating & Experience Journey):
    (a) Upon the completion of every User-to-User Smart Contract, both the Offeror (Provider) and the Offeree (Requester) are required to rate and review each other based on their transactional experience, professionalism, and satisfaction.
    (b) This mutual feedback dynamically updates each user's public profile "Smart Score" across their entire journey on the platform. These metrics are visible to the public universally and serve as a core parameter during the real-time Bid/Ask matching protocol to filter out low-quality actors and protect the community.
  • 0.7 Real-Time Telemetry & Active Backoffice Intervention:
    (a) Continuous Vigilance: To maintain a secured, insured, and verified operational environment, all active tasks—including taxi rides, domestic help, logistics transport, and Smart SOS executions—are tracked in real-time via the platform's automated Backoffice Monitoring System. This system constantly monitors live locations, task running times, delivery progress, delays, and expected return windows.
    (b) Lagging Warnings & Time Extensions: For tasks negotiated on a time-duration basis via the Bid/Ask engine, the system automatically tracks elapsed active time. If execution exceeds the agreed timeline, the platform will generate automated lagging warnings and push notifications to both parties to coordinate formal time extensions or rate realignments.
    (c) Suspicious Activity & Operational Measures: The backoffice reserves the absolute right to actively intervene and initiate immediate corrective measures if it detects any suspicious activity, unexplained transit delays, route deviations, telemetry lags, or prolonged lack of movement. Corrective measures include, but are not limited to, initiating proactive "Wellness Enquiries," freezing active escrow accounts, or triggering regional emergency protocols.

Section I: Terms for the Supply Side (Providers, Job Hunters, & Referrers)

  • 1.1 Eligibility & Cross-Serving: Users may offer any combination of traditional manual labor, professional consulting, transportation, logistics, or emergency services, provided they hold the necessary local municipal licenses, certifications, and legal permits to perform that specific task in their geographic territory.
  • 1.2 Independent Contractor Status: When acting as a Provider or Job Hunter, you are an independent contractor. No employer-employee, agency, or joint-venture relationship is created between you and Smart Labours Online Services Ltd or its Local Subsidiaries. You retain absolute control over which jobs you choose to hunt, bid on, and execute.
  • 1.3 Sole Liability for Execution Damages: Providers solely bear all civil, legal, and financial liability for any third-party property damage, professional errors, or physical injuries caused by them during the active execution of a tracked task.
  • 1.4 Platform Subrogation Right: While the platform's insurance safety shield covers the customer's losses upfront to preserve ecosystem trust, the platform retains an absolute, automatic legal right of subrogation and recoupment. Smart Labours reserves the right to freeze, deduct, or offset funds from the offending Provider’s digital wallet to recover insurance payout expenditures and legal costs.
  • 1.5 Independent Referrer Ecosystem: Any user may act as an Independent Referrer by sharing customized digital links. Referrers are entitled to a dynamic micro-commission drawn from the platform's high-volume 5% ecosystem processing fee on completed tasks executed by their referred pool. Referrers assume full personal responsibility for filing and paying all applicable local income taxes or regional levies on these earnings within their local currency wallets.

Section II: Terms for the Demand Side (Service Requesters & App Consumers)

  • 2.1 The Open-Ended Request Engine: Requesters may post a request for absolutely any legal service, including but not limited to: domestic cleaning, taxi/ride-hailing, dynamic "Way-Share" logistics, professional consultations, specialized medical assistance, or emergency roadside aid.
  • 2.2 The Bid/Ask Contractual Handshake: Requesters acknowledge that Smart Labours does not use central algorithmic pricing. When a Requester accepts an individualized offer from a Provider via the Bid/Ask engine, a binding User-to-User contract is formed strictly between those two parties. The platform is a neutral match facilitator and escrow agent.
  • 2.3 Escrow Funding & The 48-Hour Release: Upon the handshake agreement, the Requester’s funds are securely locked in an operational local escrow account. Requesters have exactly forty-eight (48) hours following a task's marked completion to review the results and either authorize the release of funds or file a formal dispute. Unactioned tasks automatically release funds after 48 hours, minus the split 5% ecosystem fee.
  • 2.4 Requester Indemnity & Cargo Warranties: When requesting logistics via Way-Share or Return-Leg vehicle matching, Requesters explicitly warrant that their cargo contains no hazardous, illegal, stolen, or volatile items. Requesters assume full personal liability and will indemnify the platform and the Provider against any losses or law enforcement actions arising from a violation of this rule.
  • 2.5 Reciprocal Property Damage Liability: If a Requester causes verified physical damage to a Provider’s equipment, tools, or vehicle during a task, the Requester shall solely bear the financial liability for those damages. The platform will pursue identical subrogation and wallet recovery actions against the Requester's account and linked payment methods to reimburse the Provider.
  • 2.6 Smart SOS & P2P Emergency Network: Requesters utilizing the "Smart SOS" feature acknowledge that the app functions solely as a real-time communication and GPS vector to map the closest available peer helper or independent professional. Requesters utilize the SOS peer network at their own risk and waive platform liability for operational arrival times or medical outcomes.
  • 2.7 Voluntary Emergency Blood Donation Registry ("Give & Take System"):
    (a) Optional Disclosures: Users may optionally and voluntarily reveal their blood group on their profile and designate their willingness to act as an emergency donor. This information is provided solely at the user's discretion and can be modified or removed at any time.
    (b) Two-Way Priority Matching: Users who opt-in to register as voluntary donors participate in a reciprocal "Give and Take" network. In the event of a verified medical emergency, the platform’s Smart SOS engine will prioritize mapping and alerting nearby compatible registered donors within the community to expedite potential assistance.
    (c) Complete Medical Disclaimer: Smart Labours Online Services Ltd operates strictly as a peer-to-peer communication vector and does not provide medical services, clinical screening, or blood banking facilities. Any subsequent blood donation or medical testing must be conducted by certified, local healthcare professionals. Users explicitly waive all claims against Smart Labours regarding the safety, compatibility, or medical outcomes of peer-to-peer emergency blood coordination.

Section III: Wallet Architecture, Fees, and Arrears

  • 3.1 Dynamic Wallet Ledger and Tariffs: When any party executes a transaction, pays for a request, or receives wages/charges through the platform's payment gateways, the gross and net sums are instantly calculated in local currency and reflected on their In-App Wallet. The ledger will explicitly itemize the base transaction value, applicable platform tariffs, ecosystem fees, micro-insurance deductions, and any regional tax arrears.
  • 3.2 Currency Processing: All transactions, wallets, receipts, and payouts are handled, displayed, and executed entirely in the local currency of the country where the service is being performed.
  • 3.3 The 5% Ecosystem Fee: Upon the successful release of escrowed funds, the platform automatically deducts its 5% Ecosystem Fee (comprising a 2.5% split from both the Provider and the Requester). Community or low-cost tasks may instead be charged a flat "Safety & Tracking Fee" to cover GPS tracking and insurance infrastructure.
  • 3.4 Negative Balances and Account Suspension Protocols:
    (a) Owed Balances: A negative balance inside an In-App Wallet indicates that the user or corporate entity owes funds directly to the platform.
    (b) Obligation to Clear Debt: Any user whose wallet reflects a negative balance is legally obligated to clear the entire owed amount to the platform within the designated system timeline.
    (c) Suspension Enforcements: Failure to clear a negative balance within the specified timeline will trigger automated operational penalties. Smart Labours Online Services Ltd reserves the absolute right to impose immediate temporary or permanent suspensions of platform access, disabling the user's ability to hunt, bid, offer, or request any universal services until the account balance is fully restored to a non-negative state.

Section IV: Jurisdiction, System Compliance, & Force Majeure

  • 4.1 Governing Law: These universal terms are governed by the laws of England and Wales. Localized operational, consumer protection, or tax disputes involving a regional Subsidiary will be handled exclusively by the competent courts of the city where that subsidiary is registered (e.g., the courts of Cochin, India for the Indian Subsidiary).
  • 4.2 Class-Action Waiver: All users explicitly waive their right to participate as a plaintiff or class member in any universal or regional class-action lawsuit against Smart Labours Online Services Ltd.
  • 4.3 24/7 Toll-Free Global Support: Platform support operates continuously across our interconnected business centers to coordinate active task resolutions, escrow processing, and Smart SOS routing:

  • 4.4 Global Compliance, Sanctions, and Anti-Money Laundering (AML): Users explicitly warrant that they are not listed on any international trade or economic sanctions lists, including the UK Office of Financial Sanctions Implementation (OFSI) or the US Office of Foreign Assets Control (OFAC). The platform reserves the right to request proof of funds or freeze any local currency transaction flagged by our internal AI anomalies monitoring engine.
  • 4.5 Localized Taxation & Withholding Mandates: Providers and Referrers bear sole, exclusive responsibility for reporting their wallet earnings to their regional revenue offices. In jurisdictions where local authorities mandate that technology platforms withhold tax at source, the platform will automatically deduct the legally required tariff percentage from the gross transaction value prior to releasing the funds from escrow into the local currency wallet.
  • 4.6 Data Privacy & Cross-Border Data Routing (GDPR / DPDPA): As a universal app operated from the UK, with backend operations in India and the UAE, users consent to the secure transfer, storage, and processing of their personal data, telemetry records, and KYC details across these borders. European and UK user data is handled in strict compliance with the UK GDPR / Data Protection Act 2018, while Indian operations are processed according to the Digital Personal Data Protection Act (DPDPA).
  • 4.7 Force Majeure & Market Disruption: Smart Labours Online Services Ltd and its Local Subsidiaries are not legally or financially liable for system down-times, transaction failures, tracking failures, or delay of escrow releases caused by natural disasters, municipal grid failures, nation-wide internet blocks, or regional banking infrastructure collapses.
